You may hire a manager to assume responsibility for the daily management and supervision of the Franchised Business, only if: (a) the manager meets all of our minimum standards and criteria for managers; (b) the manager completes our initial training program; (c) the manager signs our confidentiality and non-competition agreements; and (d) the manager agrees, in writing, to assume responsibility for the on-site management and supervision of the Franchised Business (an "Operating Manager"). All of your employees and other agents and representatives who may have access to our confidential information must sign a confidentiality agreement. We do not require that the Operating Manager own any equity interest in the franchise.

What This Means (2024 FDD)

According to the 2024 Casiola FDD, Casiola does not require that the Operating Manager own any equity interest in the franchise. The franchisee can hire a manager to oversee the daily operations of the Franchised Business if the manager meets Casiola's minimum standards, completes the initial training program, signs confidentiality and non-competition agreements, and agrees in writing to assume responsibility for the on-site management.

This policy provides flexibility for franchisees who may not want to be involved in the day-to-day operations or who may need to hire someone to manage the business. However, the franchisee or the Managing Owner (if the franchisee is a Corporate Entity) must be personally responsible for the daily management and supervision of the Franchised Business. This Managing Owner must be approved by Casiola and dedicate their full-time efforts to the management and operation of the franchise, completing the initial training and obtaining all required licenses and permits.

While an Operating Manager can handle the daily tasks, the franchisee retains ultimate responsibility for the business's success and compliance with the Franchise Agreement. Casiola also requires all Owners (members, shareholders, or partners) to personally guarantee all obligations to Casiola under the Franchise Agreement, ensuring a strong commitment to the franchise's performance.
