Does Casiola have plans to operate or franchise a business under trademarks different from the Licensed Marks that sells similar goods or services to those offered by a Casiola franchise?

According to Casiola's 2024 Franchise Disclosure Document, Casiola states that it does not have plans to operate or franchise a business under trademarks different from the Licensed Marks that sells or will sell goods or services similar to those that will be offered by you through the Franchised Business. This means that Casiola franchisees will not have to compete with other businesses operated or franchised by Casiola that offer similar services under a different brand name.

However, Casiola does reserve the right to engage in activities that could potentially compete with a franchisee's Casiola Business. Casiola and its affiliates can acquire, develop, merge with, or affiliate with other businesses, including those that offer similar products and services, and continue to operate or franchise those businesses, even within a franchisee's Operating Market. The caveat is that these businesses cannot utilize the Licensed Marks associated with the Casiola franchise.

Additionally, Casiola retains the right to use other distribution channels, such as the internet, catalog sales, or telemarketing, to make sales within a franchisee's territory, using either Casiola's principal trademarks or different trademarks. Franchisees will not receive any compensation for orders solicited or accepted by Casiola within their territory through these alternative channels. While Casiola states it has no current plans to operate similar businesses under different trademarks, the company retains broad rights to engage in activities that could increase competition within a franchisee's market.
