What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, the reservation of rights is discussed on page 87. Specifically, the document outlines in Item 23, section 2.D, the rights that Casiola retains. These reserved rights allow Casiola to engage in various activities without compensating the franchisee.
Casiola's reserved rights include the ability to operate or franchise businesses outside the franchisee's operating market, acquire or merge with other businesses (even competitive ones, though not using Casiola's licensed marks within the franchisee's market), and use the licensed marks and system for corporate accounts. They can also license others to use the marks and system for activities not expressly prohibited in the Franchise Agreement.
This reservation of rights is a standard clause in franchise agreements, allowing franchisors to adapt and expand their business model. However, it's crucial for a prospective Casiola franchisee to understand the scope of these rights. The franchisee should evaluate how these rights might impact their business, particularly concerning competition from Casiola itself or other franchisees, and the potential for corporate accounts to be serviced directly by Casiola, potentially diverting revenue from the franchisee's location.
