You may hire a manager to assume responsibility for the daily management and supervision of the Franchised Business, only if: (a) the manager meets all of our minimum standards and criteria for managers; (b) the manager completes our initial training program; (c) the manager signs our confidentiality and non-competition agreements; and (d) the manager agrees, in writing, to assume responsibility for the on-site management and supervision of the Franchised Business (an "Operating Manager"). All of your employees and other agents and representatives who may have access to our confidential information must sign a confidentiality agreement. We do not require that the Operating Manager own any equity interest in the franchise.

According to Casiola's 2024 Franchise Disclosure Document, if a franchisee chooses to hire a manager to oversee the daily operations of the franchised business, that manager must meet specific criteria set by Casiola. These standards include meeting Casiola's minimum requirements for managers, completing the initial training program to Casiola's satisfaction, and signing confidentiality and non-competition agreements. Additionally, the manager must agree in writing to take responsibility for the on-site management and supervision of the Casiola business.

This requirement ensures that all managers are properly trained and committed to protecting Casiola's confidential information and competitive interests. The franchisee is responsible for ensuring that the manager fulfills these obligations. All employees and agents with access to confidential information must also sign a confidentiality agreement.

In the event of the death or permanent disability of a franchisee (if an individual) or the Managing Owner (if the franchisee is a corporation), a manager meeting the equivalent of an Operating Manager must be appointed within 30 days. This appointed manager must then attend and successfully complete the Training Program within 60 days of the appointment. If a Franchisor-approved Operating Manager is not in place within 30 days, Casiola has the right to appoint a manager to maintain operations at the franchisee's expense until a qualified manager is found.

Casiola also offers supplemental on-site training to franchisees and their Operating Managers if they are not meeting System performance standards. The franchisee is responsible for paying a supplemental training fee, which is currently $750 per on-site trainer per day, plus travel, meals, and accommodation expenses.
