What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, franchisees must maintain the confidentiality of the Operations Manual, keeping all its files, data, and information secure as directed by Casiola. The Operations Manual contains mandatory and suggested specifications, standards, and operating procedures that Casiola prescribes for its businesses. Franchisees must operate their business in strict accordance with these guidelines, which include approved services and products, system supplies, and authorized suppliers. Casiola will provide franchisees with reasonable notice of any modifications or changes to the Operations Manual, potentially through electronic communications or online platform notifications. Franchisees are given a reasonable period to implement these changes.
Furthermore, Casiola defines "Managers" as Managing Owners, assistant managers, and any other employees, independent contractors, consultants, directors, and board members who may have access to Confidential Information. This definition is important because it sets the scope of individuals who are considered to have access to sensitive business information.
Given these definitions and requirements, it is implied that Casiola franchisees must restrict access to the Operations Manual and other confidential information to only those employees, contractors, and consultants who are designated as "Managers." This includes ensuring that all such individuals understand and adhere to the confidentiality requirements outlined in the franchise agreement. This measure aims to protect Casiola's trade secrets and proprietary information, ensuring that only authorized personnel have access to sensitive operational details.
