What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, the 'System' that a franchisee must cease using upon termination includes several key components related to the brand's identity, operational methods, and proprietary information. This encompasses the Approved Services and Products, System Supplies, and designated services, procedures, and systems used in the operation of a Casiola Business. It also includes the Licensed Marks, Trade Dress, Copyrights, and other trade names, service marks, signs, and logos associated with Casiola.
Furthermore, the 'System' includes the Operations Manual, which contains critical guidelines and standards for running the franchise. It also covers the Bookings and Management System Data, which is essential for managing reservations and customer information. The definition extends to Know-How and Confidential Information, which are vital for maintaining the competitive edge and proprietary knowledge of the Casiola system. Finally, it includes Digital Media used in connection with the Casiola Business.
For a prospective franchisee, this means that upon termination of the franchise agreement, they must discontinue using all aspects of the Casiola system, including its branding, operational methods, and proprietary information. This ensures that the franchisee cannot unfairly compete with Casiola after the franchise relationship ends and protects Casiola's brand and operational integrity. Franchisees should be aware of these restrictions and plan accordingly if they anticipate leaving the Casiola system.
