What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, Casiola retains specific rights regarding business operations, including the ability to engage with competitive businesses. Casiola, its affiliates, and assigns can acquire, develop, merge, or affiliate with other businesses, including those that compete with Casiola. Following such an acquisition, merger, or affiliation, Casiola has the right to own, operate, franchise, or license others to operate these businesses, even if they are Competitive Businesses, within a franchisee's Operating Market. However, this right is conditional: these Competitive Businesses cannot use Casiola's Licensed Marks within the franchisee's Operating Market.
This reservation of rights allows Casiola to expand and diversify its business interests without being restricted by the territories granted to franchisees. It also protects Casiola's ability to adapt to changing market conditions and competitive landscapes. For a franchisee, this means that while they are granted an Operating Market for their Casiola business, Casiola can still operate or franchise a competing business within that same market, as long as the competing business does not use Casiola's trademarks or system.
This clause highlights the importance of understanding the scope of the exclusivity granted to a franchisee. While a franchisee has the right to operate a Casiola business within their designated Operating Market, Casiola retains significant control and flexibility to engage in other business activities, even if they compete directly with the franchisee, provided they do not use Casiola's Licensed Marks. Prospective franchisees should carefully consider this aspect and its potential impact on their business before investing in a Casiola franchise.
