What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, if a franchisee is an individual, the franchise agreement may be transferred to a designated person, heir, or beneficiary in the event of death or permanent disability without incurring a transfer fee. However, this transfer is subject to specific terms and conditions outlined in Article 14 of the agreement.
While no transfer fee is required, the transferee must still meet certain obligations to ensure the transfer is valid. The transferee must agree to be unconditionally bound by the terms and conditions of the existing franchise agreement. Additionally, they must personally guarantee the performance of the franchisee's obligations under the agreement and execute the Franchise Owner Agreement and Guaranty, which is attached as Exhibit 1 to the agreement.
It is important to note that even though a transfer fee is waived, the transfer is not automatic. Casiola must receive properly executed legal documents that their attorneys deem necessary to legally document the transfer. This ensures that all legal requirements are met and that Casiola's interests are protected during the transfer process. Prospective franchisees should consult with legal counsel to fully understand the implications of these transfer conditions.
