Answer from 2024 FDD Document

ANALYSIS OF RESULTS OF COMPANY OWNED OUTLET

Within the United States we have two Company Owned Outlets one servicing the Orlando Central Florida market ("Casiola Orlando") and the other servicing the Miami, Florida market ("Casiola Miami"). Outside the United States we also operate a Casiola Business in Aruba ("Casiola Aruba"). Casiola Orlando began operations in 2014 and within this Item 19 we report select financial data based on Casiola Orlando's operations within two Orlando Florida Operating Territories that we refer to below as "Orlando 1," and "Orlando 2". Since Casiola Aruba operates outside the United States, we do not include data related to the operations of Casiola Aruba.

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, the financial data presented in Item 19 focuses primarily on the company-owned outlets within the United States, specifically in the Orlando and Miami, Florida markets. The document explicitly states that data from the Casiola business in Aruba is excluded because it operates outside the United States. The financial performance representations are based on historical data from the company-owned outlet in Orlando, operating within two specific Orlando, Florida Operating Territories referred to as "Orlando 1," and "Orlando 2".

The financial data provided for Orlando 1 relates to an operating market that includes the equivalent of one territory with approximately 5,500 potential rentable individual unit vacation properties, specifically Encore Resort, Paradise Palms Resort, Solara Resort, Storey Lake Resort, Windsor at Westlake Resort, Windsor Hills Resort, and Windsor Palms Resort. Similarly, Orlando 2's data pertains to an operating market with approximately 5,050 potential rentable individual unit vacation properties, including Solterra Resort, Festival Resort, Windsor Island Resort, and Champions Gate Resort. The FDD also includes data for "Orlando 3" which operates within an Operating Market that includes the equivalent of one Territory with approximately 950 potential rentable individual unit vacation properties comprised of the following market: Vista Cay Resort.

For a prospective franchisee, this means that the financial performance data presented is specific to the Orlando, Florida market and may not be representative of potential performance in other geographic locations. The success of a Casiola franchise could be heavily influenced by local market conditions, tourism trends, and the specific types of vacation properties available in a given area. Therefore, it is crucial for potential franchisees to conduct their own due diligence and market research to assess the viability of a Casiola franchise in their desired location.

It is important to note that the FDD explicitly states that the financial information provided is not prepared on a basis consistent with generally accepted accounting principles and has not been audited. Casiola also states that they do not make any representations about a franchisee's future financial performance or the past financial performance of company-owned or franchised outlets. This underscores the importance of understanding the specific market dynamics and conducting thorough independent research before making any investment decisions.
