What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, an "Open Area" is defined as a geographic area that is not an Assigned Area and is located within a 10-mile radius of your Operating Market. This means that as a Casiola franchisee, you may have the opportunity to provide approved services and products in areas surrounding your primary territory, provided those areas are not already assigned to another franchisee. However, this ability is subject to Casiola's discretion, as they can direct you otherwise at any time.
It's important to note that while you can operate in an Open Area, you are restricted from directly soliciting customers outside of your designated Operating Market. Direct Solicitation includes various forms of marketing, such as in-person contact, telephone, mail, e-mail, and digital media. This implies that your marketing efforts should primarily focus on your assigned territory, and any business you conduct in the Open Area should arise from customers seeking you out independently.
Furthermore, if an Open Area becomes an Assigned Area to another Casiola franchisee, your authorization to provide services and products in that area ceases. You would then be required to turn over all customer information and records related to that area to Casiola for the benefit of the new franchisee. This highlights the potential for changes in your operational scope and the importance of understanding the evolving territorial landscape.
This arrangement allows Casiola to maintain flexibility in assigning territories and managing market coverage. As a franchisee, it's crucial to stay informed about any changes to territory assignments and to adhere to the restrictions on direct solicitation to avoid potential conflicts or breaches of the franchise agreement.
