What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, the General Release does define 'Franchise Claims'. The General Release includes a release of Casiola from any and all claims, including but not limited to Franchise Claims, causes of action, violations, damages, actions, contracts, covenants, promises, judgments, suits, indebtedness, liabilities, accounts, and demands of every kind and nature.
For a prospective Casiola franchisee, this means that by signing the General Release, they are waiving their rights to sue Casiola for a broad range of issues, including those specifically defined as 'Franchise Claims'. This waiver applies to claims that are both known and unknown at the time of signing the release.
It is important for a franchisee to understand what constitutes a 'Franchise Claim' as defined in the General Release, as they will be giving up their right to pursue legal action related to those claims. Franchisees should carefully review the definition and consider seeking legal advice to fully understand the implications of signing the General Release.
The General Release extends to Casiola Franchise LLC, its predecessors, affiliates, successors, assigns, officers, directors, managers, employees, and agents, meaning the release covers a wide range of parties associated with the franchisor. The franchisee is releasing these parties from any claims from the beginning of the world to the effective date of the release.
