Source Restricted Purchases and Leases – Generally

We require that you purchase or lease certain source restricted goods and services for the development and operation of your Casiola Business. Source restricted goods and services are goods and services that must meet our specifications and/or must be purchased from an approved or designated supplier. We may designate a supplier (which may include us or our affiliates) as the exclusive supplier for the System. Our specifications and list of approved and designated suppliers is contained in our Manuals. We will notify you of any changes to our specifications or list of approved or designated suppliers. If we have previously approved a supplier, and their standards fall below our designated standards, we will revoke our approval. We will notify you in writing of us

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, franchisees have obligations regarding pre-opening purchases and leases, as detailed in Item 9, which are closely tied to restrictions on sources of products and services outlined in Item 8. Item 9 references Articles 3 and 8 of the Franchise Agreement and Items 7 and 8 of the Disclosure Document, indicating that pre-opening purchases and leases are governed by these sections. This means Casiola franchisees must adhere to specific guidelines when acquiring goods and services necessary to start their business.

Item 8 elaborates on these restrictions, stating that franchisees may only offer and sell 'Approved Services and Products' designated by Casiola and must use only authorized products, supplies, equipment, technology systems, and services. To maintain quality and system standards, franchisees must strictly follow the Franchise Agreement and the methods, standards, specifications, and supply sources prescribed in Casiola's manuals. Casiola may designate exclusive suppliers, including themselves or their affiliates, for certain goods and services. These 'source restricted' items must meet Casiola's specifications and be purchased from approved suppliers. Casiola communicates these specifications and supplier lists in their manuals and will notify franchisees of any changes, including revoking approval of suppliers whose standards fall below designated levels.

The relationship between these obligations and the trademark license in Item 13 is that Casiola franchisees are granted the right to use the Casiola trademark and system, but this right is contingent upon meeting Casiola's standards and requirements, including those related to pre-opening purchases, leases, and sourcing. By controlling the sources of products and services, Casiola aims to ensure consistency and quality across all franchised locations, thereby protecting the brand's reputation and the value of the Licensed Marks. Failure to comply with these requirements could result in a breach of the Franchise Agreement and potential loss of the franchise.

In practical terms, a prospective Casiola franchisee needs to be aware that they will not have complete autonomy in choosing their suppliers or the products and services they use. They must carefully review the manuals and any updates from Casiola to ensure they are in compliance with the approved sources and specifications. This may impact their costs and operational flexibility, but it is a necessary aspect of maintaining the Casiola brand standards and the integrity of the franchise system. Franchisees should also inquire about the process for suggesting new suppliers or products if they believe there are better alternatives available, although the final decision rests with Casiola.
