What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, franchisees are required to sign documents to protect Casiola's interests in the Licensed Marks. Specifically, a Casiola franchisee must sign all documents, instruments, and agreements and undertake actions that Casiola, with the advice of its legal counsel, deems necessary or advisable for the protection and maintenance of its interests in the Licensed Marks in any legal or administrative proceeding. This obligation extends to actions otherwise determined necessary by Casiola.

Casiola will reimburse the franchisee for reasonable out-of-pocket administrative expenses incurred while complying with these written instructions. This means that while franchisees must cooperate in protecting Casiola's trademarks, they will not bear the financial burden of administrative costs associated with doing so.

This requirement is fairly standard in franchising, as franchisors need to actively protect their trademarks to maintain their value and prevent infringement. By requiring franchisees to sign necessary documents, Casiola ensures it can take swift and comprehensive action against any potential threats to its Licensed Marks. Franchisees should be aware of this obligation and be prepared to cooperate with Casiola in any legal or administrative proceedings related to trademark protection.
