Is a Casiola franchisee required to execute the Assignment of Telephone Numbers and Digital Media Accounts agreement?

According to Casiola's 2024 Franchise Disclosure Document, franchisees are required to execute the Assignment of Telephone Numbers and Digital Media Accounts agreement. This agreement, attached as Exhibit 3 to the Franchise Agreement, ensures that Casiola Franchise LLC and its assigns have control over all telephone numbers and digital media accounts associated with the franchisee's Casiola business.

The Assignment covers various digital assets, including interactive and static digital documents, listings, directories, applications, advertisements, links, metadata, and media transmitted within networks or connected to the internet. This includes traditional websites, online travel agencies, web-based applications, distributed databases, software applications, smartphone applications, and social media platforms like Facebook, LinkedIn, Twitter, Pinterest, Instagram, SnapChat, TikTok, and YouTube. The agreement applies to anything that refers to the Casiola business or its trademarks.

Upon the termination or expiration of the Franchise Agreement, the Assignment becomes effective automatically. This allows Casiola to maintain control over the Media, with third parties authorized to rely on the Assignment to ensure the transfer of accounts and media to Casiola's control. Casiola also has the right to request that franchisees update or re-execute the Assignment of Telephone Numbers and Digital Media Accounts agreement at any time.
