We may, in our discretion, negotiate purchase agreements, including price terms, with designated suppliers for source restricted goods and services on behalf of the System. We may establish preferred vendor programs with suppliers on behalf of some or all of the Casiola Businesses under the System and, in doing so, we may limit the number of approved vendors and/or suppliers that you may purchase from and we may designate one vendor as your sole supplier. Presently there are no purchase or supply agreements in effect for source restricted products or services and there are no purchasing or distribution cooperatives that you must join. You will not receive any material benefits for using our designated or approved suppliers.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, a franchisee will not receive any material benefits for using Casiola's designated or approved suppliers. While Casiola may negotiate purchase agreements with designated suppliers and establish preferred vendor programs, these arrangements do not translate into direct material benefits for the franchisee.
Casiola requires franchisees to purchase or lease certain goods and services from approved or designated suppliers. These 'source restricted' items are essential for maintaining the brand's standards and operational consistency. Casiola may designate itself or its affiliates as exclusive suppliers, irrespective of competing suppliers. Franchisees must adhere to Casiola's specifications and standards when selecting suppliers, even if a specific supplier isn't designated in the manuals.
While franchisees do not receive direct material benefits, Casiola and its affiliates may receive rebates, payments, and other benefits from suppliers based on franchisee purchases. Casiola reserves the right to institute and expand rebate programs in the future. As of the issuance date of the 2024 Disclosure Document, Casiola had not yet received revenue from suppliers based on franchisee purchases of source-restricted products or services.
It is estimated that purchases from designated or exclusive suppliers will constitute approximately 90% of the franchisee's total initial purchases and leases and about 20% of ongoing operating expenses. This highlights the significant impact of supplier choices on a franchisee's financial performance and the importance of understanding the terms and conditions of these supplier relationships.
