You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control. However, during the term of the Franchise Agreement, provided that you are not in default of your obligations to us or our affiliates and except as to our Reserved Rights set forth below, we will not open and operate and we will not grant another franchisee the right to open and operate a Casiola Business within your Operating Market.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, franchisees do not receive an exclusive territory. While Casiola will not open or grant another franchise within a franchisee's designated Operating Market, this is conditional. The franchisee must remain in good standing and adhere to all obligations to Casiola and its affiliates. This protection is also subject to Casiola's Reserved Rights.
Casiola retains significant rights, including the ability to operate or franchise businesses under different trademarks, even those offering similar services within the franchisee's Operating Market. They can also engage in activities not expressly prohibited by the Franchise Agreement. Casiola also reserves the right to use other distribution channels, such as the internet or telemarketing, to make sales within the franchisee's territory without compensation to the franchisee.
Furthermore, franchisees must operate and market their Casiola business exclusively within their Operating Market and cannot directly solicit customers outside of it. However, with written approval, they may provide services in an Open Area, which is a geographic area within a 10-mile radius of their Operating Market that is not an Assigned Area. Once an Open Area becomes an Assigned Area, the franchisee must cease serving customers in that area and turn over all related customer information to Casiola for the benefit of another franchisee.
Casiola also has the right to establish a Corporate Accounts Program and service these accounts within a franchisee's territory, even if the franchisee chooses not to participate in the program. This lack of an exclusive territory and the various reserved rights held by Casiola could lead to increased competition and potential limitations on a franchisee's business growth within their Operating Market.
