What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, the Brand Development Fund Fee is paid to the Franchisor. Specifically, the franchisee is required to pay the Brand Development Fund Fee to Casiola, Casiola's affiliates, or Casiola's designees.

The Brand Development Fund is used for advertising, media placement, marketing, and public relations programs as directed by Casiola. Casiola has sole discretion over the strategic direction, creative concepts, materials, and endorsements used by the Brand Development Fund, as well as the geographic, market, and media placement and allocation thereof.

This means that while franchisees contribute to the fund, Casiola maintains control over how the money is spent and is not obligated to ensure that expenditures in any geographic area are proportionate to the contributions from Casiola Businesses operating in that area. The Brand Development Fund is not a trust, and Casiola may deposit and maintain the funds in its general accounts. This arrangement is fairly typical in franchising, where franchisors manage marketing funds for the benefit of the entire system.
