What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, upon the expiration or termination of the Franchise Agreement, a franchisee must preserve and maintain the Bookings and Management System Data for the purpose of transferring it to Casiola. Casiola retains exclusive ownership of this data, with the franchisee only storing and maintaining it according to applicable laws.
The Bookings and Management System Data includes forms, data, tools, customer information, and sales information that are pre-populated, entered, recorded, stored, or maintained within the Bookings and Management System. Casiola has the right to modify or discontinue the system at any time.
This means that franchisees do not have long-term ownership or control over the data they input into the system. Instead, they act as custodians, ensuring the data is available for transfer back to Casiola when the franchise agreement ends. This is a fairly typical arrangement in franchising, where the franchisor maintains control over key operational data.
For a prospective franchisee, this highlights the importance of understanding data ownership and usage rights within the franchise agreement. It also emphasizes the need to maintain accurate and complete records within the Bookings and Management System, as these records will need to be transferred to Casiola.
