What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, the franchise agreement does not use the term 'Restricted Territory'. Instead, it defines an "Operating Market" for each franchisee. The "Operating Market" is the designated area where the franchisee is expected to conduct their business and target their marketing efforts. Casiola also defines an "Assigned Area" as the operating area of other Casiola businesses, which the franchisor exclusively determines.
Casiola franchisees are generally restricted from directly soliciting customers outside their Operating Market or within the Operating Market of another Casiola business. However, franchisees may be allowed to provide services to customers in an "Open Area" surrounding their Operating Market, unless the franchisor directs otherwise. If an Open Area becomes an Assigned Area, the franchisee must cease communication with customers in that area and turn over all related information to Casiola or another Casiola business.
Prospective Casiola franchisees should pay close attention to how their Operating Market is defined in the franchise agreement, as this will determine their primary area of operation. They should also understand the rules regarding soliciting customers outside their Operating Market and the potential for changes in Open Areas. Reviewing Schedule 1 of the Franchise Agreement, which pertains to the Operating Market Acknowledgment, is crucial to understanding the territory boundaries.
