What This Means (2024 FDD)
Yes, according to the 2024 Casiola Franchise Disclosure Document, the franchise agreement defines 'Know-How.' The agreement specifies that 'Know-How' encompasses all of Casiola's trade secrets and proprietary information related to the development, establishment, marketing, promotion, and operation of a Casiola Business. This includes, but is not limited to, methods, techniques, specifications, procedures, policies, marketing strategies, and information within the System.
Specifically, the definition extends to information contained in the Operations Manual and Confidential Information. This means that franchisees are not only receiving a brand name and the right to operate a business, but also access to the specific knowledge and practices that Casiola has developed and uses to run its businesses.
The franchise agreement also places restrictions on the franchisee’s use of the Know-How. Franchisees agree not to use the Know-How in any business or capacity other than the operation of their Casiola franchise, to maintain its confidentiality, and to prevent unauthorized use or disclosure. These obligations extend both during the term of the agreement and after its expiration or termination. This is a standard practice in franchising to protect the franchisor's competitive advantage and proprietary information.
