What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, the franchise agreement does define "Confidential Information." The agreement specifies that "Confidential Information" includes (a) non-public methods, specifications, standards, policies, procedures, information, concepts, programs and systems relating to the development, establishment, marketing, promotion and operation of the Casiola Business; (b) information concerning customers, customer lists, email lists, database lists, product sales, operating results, financial performance and other financial data of the Casiola Business; (c) customer lists and information related to the Casiola Business; (d) Bookings and Management System Data; (e) current and future information contained in Casiola Operations Manual made available to the Casiola Business by Casiola Franchise LLC; and (f) production, supply, and service procedures that are not disclosed to the public but used by the Casiola Business.

Casiola franchisees are obligated to maintain the confidentiality of this information both during the term of the agreement and after its expiration or termination. They must not use the Confidential Information in any business other than the Casiola Business, make unauthorized copies, or disclose it to unauthorized parties. Franchisees are also required to take reasonable steps to prevent unauthorized use or disclosure, as requested by Casiola. These obligations extend not only to the franchisee but also to their owners, directors, officers, employees, and agents who have access to the Confidential Information.

The definition of "Confidential Information" also appears in a sample Confidentiality Agreement that Casiola may approve for use by franchisees with their employees or contractors. This agreement reinforces the importance of protecting Casiola's proprietary information and outlines the responsibilities of those who have access to it. Casiola franchisees should consult with an independent local attorney to review and approve this agreement before using it with their staff.

It is important for prospective Casiola franchisees to understand the scope of "Confidential Information" and the restrictions placed on its use and disclosure. Failure to comply with these confidentiality obligations can result in significant legal and financial consequences, including injunctive relief. Franchisees should carefully review the confidentiality provisions in the franchise agreement and seek legal advice if they have any questions or concerns.
