What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document (FDD), the definitions of terms used in the Franchise Agreement can be found within the agreement itself. Item 23 of the FDD provides excerpts from the Franchise Agreement, which include specific sections dedicated to defining terms.
The Franchise Agreement includes a section titled "Definitions" within its recitals and representations. This section explicitly states that certain terms used throughout the agreement have specific meanings as defined in that section. For example, the terms "Bookings and Management System," "Bookings and Management System Data," and "Confidential Information" are defined within this section of the agreement. These definitions are crucial for understanding the obligations and rights of both the franchisee and Casiola.
In addition to the initial definitions, the Franchise Agreement supplements these terms in other sections. For instance, terms like "Administrative Office(s)" and "Approved Services and Products" are defined, clarifying what products and services Casiola authorizes a franchisee to sell. Further terms such as "Brand Development Fund," "Brand Development Fund Fee," "Casiola Business(es)," "Closed Market," and "Commission Agreement" are also defined within the agreement to provide clarity on specific aspects of the franchise operation. These definitions help ensure that both parties have a clear understanding of their roles and responsibilities under the agreement.
