What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, the definition of 'Confidential Information' does include operating procedures. The FDD specifies that Confidential Information includes non-public methods, specifications, standards, policies, and procedures relating to the operation of the Casiola Business. Additionally, the definition extends to current and future information contained in the Casiola Operations Manual.
This means that as a franchisee, you are obligated to maintain the confidentiality of these operating procedures. This obligation extends not only to the methods and standards themselves but also to the information contained within the Operations Manual. The Operations Manual contains mandatory and suggested specifications, standards, and operating procedures that Casiola prescribes for its businesses.
Maintaining the confidentiality of this information is crucial, as it forms a part of Casiola's trade secrets and proprietary information. Franchisees must operate their Franchised Business in strict accordance with the standards, specifications, and requirements set forth in the Operations Manual. Franchisees must also keep all files, data, and information contained in the Operations Manual secure and confidential, as directed by Casiola. This ensures that the competitive advantage and proprietary knowledge of the Casiola system are protected.
Failure to comply with these confidentiality requirements could result in a breach of the franchise agreement, potentially leading to legal and financial repercussions. Prospective franchisees should carefully review the scope of 'Confidential Information' and the obligations surrounding it to ensure they can fully comply with these requirements.
