- 2. Definitions. For purposes of this Agreement, the following terms have the meanings given to them below:
- "Bookings and Management System" refers to and means the software and/or internet or cloud based system and/or systems, point of sale system or systems and customer relationship management system or systems as used in connection with the operations of the Casiola Business.
- "Bookings and Management System Data" refers to and means the forms, data, tools, customer information, inventory and sales information, and other information that is entered into and/or maintained on the Bookings and Management System of the Casiola Business.

According to Casiola's 2024 Franchise Disclosure Document, 'Confidential Information' encompasses a broad range of proprietary data and knowledge related to the Casiola Business. This includes non-public methods, specifications, standards, policies, procedures, information, concepts, programs, and systems used in the development, marketing, and operation of the Casiola Business. It also covers information concerning customers, such as customer lists, email lists, database lists, product sales data, operating results, financial performance, and other financial data.
Furthermore, the definition extends to customer lists and information specifically related to Casiola Businesses, as well as data contained within the Bookings and Management System. This includes forms, data, tools, customer information, inventory, and sales information maintained within the system. The definition also includes current and future information found in the Casiola Operations Manual and production, supply, and service procedures not publicly disclosed but used by the Casiola Business.
Upon termination of the Franchise Agreement, the franchisee must permanently cease using the Confidential Information, including the Bookings and Management System Data and the Operations Manual, except as directed by Casiola in writing for wind-down activities. The franchisee is also required to return all Confidential Information and related materials to Casiola, with limited exceptions for the franchise agreement, correspondence, and legally required documents. This ensures that Casiola retains control over its proprietary assets and prevents unfair competition from former franchisees.
