What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, the definition of 'Casiola Business' does not explicitly include businesses operated by affiliates of the franchisor within the definitions provided. However, the document does address the operation of Casiola Businesses by both franchisees and the franchisor and its affiliates under specific conditions.
Specifically, the FDD states that during the term of the agreement, Casiola and its affiliates will not operate or grant a franchise to operate a Casiola Business using the Licensed Marks and System within the franchisee's Operating Market, provided that the franchisee remains in compliance with the agreement and an Operating Market has been designated and approved by Casiola. This clause implies that while Casiola aims to protect the franchisee's territory, there are conditions under which Casiola or its affiliates might operate a similar business, such as through reserved rights or in closed markets.
Furthermore, the agreement specifies that the rights granted to the franchisee are subject to the terms and conditions of the agreement, the rights of any prior user, and are non-exclusive and subordinate to the Reserved Rights. This indicates that Casiola retains certain rights that could potentially allow it or its affiliates to operate a Casiola Business even within a franchisee's market under certain circumstances. A prospective franchisee should clarify the scope of these Reserved Rights and Closed Markets to fully understand the potential for competition from Casiola or its affiliates.
