We license a system (the "System") for the operation of a Casiola business (each, a "Franchised Business" or "Casiola Business") that provides property management services for short-term rental properties and related products and services (the "Approved Services and Products"). The System includes Approved Services and Products that we currently designate and that we may modify, add to or discontinue from time to time, and our specifications, methods and procedures for the preparation, service, marketing and sale of Approved Services and Products by the Franchised Business. The System also features and requires, as designated by us, your exclusive use of designated booking platforms, online travel agencies, damage waiver fee agreements, insurance products, customer support, invoicing, management systems, and materials that we designate (the "System Supplies"). The System is identified by the Casiola trademark, registered logo, and such other trademarks, logos, and trade-dress that we may designate, modify or adopt from time to time and as same may or may not be registered with the United States Patent and Trademark Office (collectively, the "Licensed Marks"). You must develop and operate your Casiola Business in conformity with the specifications, procedures, criteria, and requirements that we designate in our confidential operations manual and other proprietary manuals that we designate and as we may supplement and modify from time to time (collectively, the "Manuals"). If permitted by law, you may administratively operate your Casiola Business from a home based administrative office. Your home office or, if you elect to operate from a business office, must be located within the operating market of your Casiola Business or within close proximity to the operating market (not more than a 40 minute drive) of your Casiola Business.
Franchise Agreement
You may enter into a Franchise Agreement in the form attached to this Disclosure Document as Exhibit E to develop and operate a Casiola Business within an Operating Market and in conformity with the requirements of our System. At the time of signing the Franchise Agreement we will designate a geographic area comprising your Operating Market. Your right to use the System will be limited to offering and providing our Approved Services and Products within your Operating Market using only our System Supplies, the Licensed Marks and the specifications and requirements set forth in our Manuals and as otherwise constituting a part of our System.

Our affiliate Casiola Worldwide LLC is a Florida limited liability company established on August 2nd, 2021. This affiliate maintains a principal business address at 14500 Velleux Dr, Orlando, Florida 32837. This affiliate is the owner of all Casiola intellectual property, including, but not limited to internet domains, trade and service marks, websites, proprietary software, phone numbers, copyrights, etc. This affiliate has not in the past and does not now offer franchises in any lines of business.
Casiola Payments LLC
Our affiliate Casiola Payments LLC is a Florida limited liability company established on January 5th, 2022. This affiliate maintains a principal business address at 6751 Forum Drive, Suite 230, Orlando, Florida 32821. This affiliate provides payment processing services to franchisees. This affiliate has not in the past and does not now offer franchises in any lines of business.
Casiola (Orlando) LLC
Our affiliate Casiola LLC is a Florida limited liability company established on January 30, 2014.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, Casiola can modify the required products and services at any time. Casiola licenses a system for operating a Casiola business, which includes providing property management services for short-term rental properties and related products and services, referred to as "Approved Services and Products." Casiola can modify, add to, or discontinue these Approved Services and Products from time to time.
This means that as a franchisee, you must adapt to changes that Casiola makes to its required offerings. These modifications can include the exclusive use of designated booking platforms, online travel agencies, damage waiver fee agreements, insurance products, customer support, invoicing, management systems, and materials, all of which Casiola designates as "System Supplies." Casiola also designates trademarks, logos, and trade dress, which it may modify or adopt over time.
Furthermore, franchisees must operate their Casiola Business according to the specifications, procedures, criteria, and requirements that Casiola designates in its confidential operations manual, which can be supplemented and modified. Casiola will provide franchisees with access to the Operations Manual, which contains mandatory and suggested specifications, standards, and operating procedures. Franchisees must operate in strict accordance with these standards, including those related to Approved Services and Products, System Supplies, and authorized suppliers, as modified by Casiola. Casiola will provide reasonable notice of modifications and changes made to the Operations Manual, potentially through electronic communications.
