What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, franchisees are restricted from providing unauthorized third parties with access to the Bookings and Management System or its data. Specifically, the FDD states that franchisees cannot disclose, divulge, provide access to, communicate, or permit the communication of the contents, data, or information contained in the Operations Manual or Confidential Information to any third party without the franchisor's authorization.
The Bookings and Management System and its data are defined as Confidential Information. This includes forms, data, tools, customer information, inventory, and sales information entered into or maintained on the Bookings and Management System. Casiola retains ownership of all Bookings and Management System Data.
To ensure compliance, Casiola provides a sample confidentiality agreement that franchisees can use with their employees and contractors, although franchisees are advised to have this agreement reviewed by their own independent attorney. This agreement reinforces the need to protect Confidential Information, with Casiola Franchise LLC identified as a third-party beneficiary, despite not being a direct party to the agreement. This setup ensures that Casiola's interests are protected even at the franchisee level, preventing unauthorized access and maintaining data security.
