What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, the Assignment of Telephone Numbers and Digital Media Accounts is designed to facilitate the transfer of digital assets to Casiola Franchise LLC (the Assignee). This assignment is intended to be a legally reliable instrument for third parties, authorizing them to permit the assignments and transfers necessary to bring accounts and media under the Assignee's control. The agreement covers all telephone numbers, facsimile numbers, listings, domain names, and digital media associated with the franchisee's Casiola Business. Digital media includes any interactive or static digital document, listing, directory, application, advertisement, link, metadata, or media that is transmitted within a closed or private network, or that is connected to the internet or social media platforms and refers to the Casiola Business.
Upon termination or expiration of the Franchise Agreement, the Assignment becomes effective automatically. Third parties can rely on a written declaration from the Assignee as proof of the termination or expiration of the Franchise Agreement, and this declaration is considered definitive and not subject to dispute. This ensures that third parties can take necessary actions to maintain the Assignee's access to and control of the media.
It is important to note that the Assignment does not grant the franchisee any ownership interests in the telephone numbers, accounts, or digital media. These rights are governed by a limited license within the Casiola Business Franchise Agreement, which takes precedence over the Assignment in case of any conflict. This means that while the Assignment facilitates the transfer of control, the underlying rights remain with Casiola, ensuring brand consistency and control over digital assets within the franchise system.
Prospective franchisees should understand that this arrangement is typical in franchising, where the franchisor maintains control over brand-related digital assets to ensure uniformity and protect the brand's online presence. Franchisees benefit from the franchisor managing these assets, as it reduces the burden of digital marketing and brand management, allowing them to focus on the operational aspects of their Casiola Business.
