In any arbitration or mediation involving a franchise purchased in Washington, the arbitration or mediation site will be either in the state of Washington, or in a place mutually agreed upon at the time of the arbitration or mediation, or as determined by the arbitrator or mediator at the time of arbitration or mediation. What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, for any arbitration or mediation involving a franchise purchased in Washington, the site will be in Washington state. However, the location could also be a place mutually agreed upon at the time of the arbitration or mediation. Alternatively, the arbitrator or mediator could determine the location at the time of the arbitration or mediation.
This amendment to the franchise agreement provides some flexibility in determining the location of arbitration or mediation, which could be beneficial to a franchisee. Without this amendment, Casiola could potentially require arbitration to take place in a location that is inconvenient or costly for the franchisee. The franchisee also has the right to bring an action or proceeding arising out of or in connection with the sale of franchises, or a violation of the Washington Franchise Investment Protection Act, in Washington if litigation is not precluded by the franchise agreement.
It is important for prospective franchisees to understand that the Washington Franchise Investment Protection Act and court decisions may supersede the franchise agreement in areas such as termination and renewal. This means that certain provisions in the franchise agreement may not be enforceable if they conflict with Washington law. Casiola franchisees should consult with an attorney to fully understand their rights and obligations under Washington law.
