What This Means (2024 FDD)

According to the 2024 Casiola Franchise Disclosure Document, both the franchisee and each owner are required to comply with the restrictive covenants outlined in the agreement. These covenants include restrictions on using Casiola's know-how in any business other than the franchised business, maintaining the confidentiality of the know-how, and preventing unauthorized use or disclosure of this information. These obligations extend not only during the term of the agreement but also after its expiration or termination.

Specifically, each of Casiola's owners must sign and deliver the Franchise Owner Agreement and Guaranty, ensuring they are individually bound by these restrictions. This requirement highlights the importance Casiola places on protecting its system and confidential information from potential competition or misuse by those who have had access to it through the franchise.

This means that even if an individual ceases to be an owner of the Casiola franchise, they are still bound by the confidentiality and non-compete obligations outlined in the agreement. This is a common practice in franchising to protect the brand and system. Prospective franchisees should carefully review these restrictive covenants and understand their implications before entering into the agreement.
