What are 'Advertising Contributions' for a Casiola franchise?

- "Advertising Contributions" means any and all obligations of Franchisee to contribute to and/or pay fees to Franchisor or Franchisor's affiliate or designees as set forth in this Agreement including, but not limited to, the Brand Development Fund Fees set forth in Article 9.A. of this Agreement and Advertising Cooperative contributions and contributions set forth in Article 9.C. of this Agreement.
9.C. ADVERTISING COOPERATIVE
At all times Franchisor, in Franchisor's Reasonable Business Judgment, possesses the right to authorize, establish, designate and de-authorize a local or regional advertising cooperative within those markets that Franchisor designates (the "Advertising Cooperative"). Franchisee agrees that Franchisor possesses the sole and exclusive right to designate any geographic area in which two or more Casiola Business franchises are located as a region for the purpose of establishing an Advertising Cooperative. If Franchisee's Casiola Business or Operating Market is located within the geographic area of an Advertising Cooperative, franchisee must participate in and contribute to the Advertising Cooperative. Franchisee agrees to the following:
- (1) If Franchisor previously instituted or, in the future, institutes an Advertising Cooperative that includes, in whole or in part, Franchisee's Operating Market or Franchisee's Casiola Business Location, Franchisee shall participate in and make such on-going financial contributions to the Advertising Cooperative, as determined by the Advertising Cooperative;
in Article 9.B. of this Agreement and Franchisee's contributions to the Advertising Cooperative shall count toward satisfaction of Franchisee's minimum local marketing obligations set forth in Article 9.B.;
ARTICLE 17 OBLIGATIONS UPON TERMINATION OR EXPIRATION
17.A. PAYMENT OF AMOUNTS OWED TO FRANCHISOR
Without limitation as to any other Article or provision of this Agreement, upon expiration or termination of this Agreement for any reason, Franchisee shall immediately pay to Franchisor all sums and fees due from Franchisee to Franchisor under the terms of this Agreement including, but not limited to Royalty Fees and Advertising Contributions and all other sums and fees due from Franchisee to Franchisor and/or Franchisor affiliates and/or suppliers for products and services including, but not limited to, System Supplies.

What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, "Advertising Contributions" encompass all financial obligations a franchisee has to contribute to advertising efforts. These contributions include fees paid to Casiola or its affiliates, such as Brand Development Fund Fees as detailed in Article 9.A, and contributions to the Advertising Cooperative as outlined in Article 9.C of the Franchise Agreement.
The FDD also specifies that if a Casiola franchisee's business is located within the geographic area of a designated Advertising Cooperative, they are required to participate in and contribute to that cooperative. The franchisee's contributions to the Advertising Cooperative will be determined by the cooperative itself, but these contributions will count toward satisfying the franchisee's minimum local marketing obligations as detailed in Article 9.B of the Franchise Agreement.
Upon termination or expiration of the Franchise Agreement, the franchisee is obligated to immediately pay all outstanding Advertising Contributions to Casiola. This obligation is part of the broader requirement to settle all debts owed to Casiola, its affiliates, or suppliers for products and services, including System Supplies. This ensures that all financial obligations related to advertising are fulfilled even after the franchise agreement concludes.
