  • "Additional Territory" means each and every Territory, if any, over and above the first Territory, and, together, constituting and comprising Franchisee's Operating Market as specified in this Agreement.
  • "Administrative Office(s)" means the non-retail, back-end, administrative office and/or facilities from which a Casiola Business is managed. An Administrative Office may be comprised of, if permitted by law, a home based office, or a non-retail, non-public back-end office and/or facility for managing the operations of the Franchised Business.
  • "Advertising Contributions" means any and all obligations of Franchisee to contribute to and/or pay fees to Franchisor or Franchisor's affiliate or designees as set forth in this Agreement including, but not limited to, the Brand Development Fund Fees set forth in Article 9.A. of this Agreement and Advertising Cooperative contributions and contributions set forth in Article 9.C. of this Agreement.
  • "Advertising Cooperative" shall have the meaning defined and set forth in Article 9.C. of this Agreement.
  • "Ancillary Agreements" means, individually and collectively, each and every agreement between: (a) Franchisor and Franchisee, but not including this Agreement; and (b) Franchisor and each of Franchisee's Owners, whether individually and/or collectively.
  • "Ancillary Third Party Service Fees" means fees paid to a Casiola Business as reimbursement to the Casiola Business for services, parts, and supplies provided to a customer of the Casiola Business by an Ancillary Third Party Service Provider. At all times Franchisor possesses full discretion and authority, in Franchisor's Reasonable Business Judgment, to designate and determine what constitutes and qualifies as Ancillary Third Party Service Fees.
  • "Ancillary Third Party Service Provider" means a third party provider of Ancillary Third Party Service Provider.

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, the Administrative Office must not be accessible to the public or to Casiola's customers. The Administrative Office is defined as the non-retail, back-end, administrative office and/or facilities from which a Casiola Business is managed.

A Casiola franchisee must operate the Franchised Business from an Administrative Office that conforms to Casiola's standards and specifications. The location of the Administrative Office requires Casiola's written approval. If permitted by local laws and regulations, a franchisee may designate their personal residence as the Administrative Office, pending independent verification of zoning laws.

Otherwise, the franchisee must develop the Administrative Office from a commercial location within the Operating Market. Casiola will provide preliminary plans and specifications for an Administrative Office, if applicable. The franchisee is responsible for identifying, evaluating, and securing the location within 60 days of the agreement's effective date, as evidenced by a binding lease for the full term of the agreement.

The franchisee cannot relocate the Administrative Office outside the Operating Market. If the franchisee wishes to relocate within the Operating Market to a suitable commercial facility, they must obtain Casiola's prior written consent, which will not be unreasonably withheld if the franchisee is in compliance with the agreement and the new facility meets Casiola's standards.
