"Copyrights" refers to and means all works and materials for which we or any affiliate of ours has secured common law or registered copyright protection and we utilize and/or allow Casiola Business franchisees to use, sell or display in connection with the development, marketing and/or operation of a Casiola Business, whether as of the Effective Date or any time in the future.
Franchisor shall provide Franchisee with access to the Operations Manual. The Operations Manual contains, as designated and determined by Franchisor, mandatory and, as applicable, suggested specifications, standards and operating procedures that Franchisor prescribes for Casiola Businesses. Franchisee shall operate the Franchised Business in strict accordance with the standards, specifications, and requirements set forth in the Operations Manual as, such standards, specifications, and requirements including, but not limited to, the Approved Services and Products, System Supplies, and, authorized and designated suppliers, as of the Effective Date of this Agreement, and, as they may be supplemented, modified, changed, and/or replaced in the future and, from time to time, by Franchisor, in Franchisor's Reasonable Business Judgment. Franchisee shall keep and maintain the confidentiality of the Operations Manual and shall keep and maintain all files, data and information contained in the Operations Manual in a secure location and/or in a protected confidential state and, as otherwise directed by Franchisor. The master copy and official version of the Operations Manual is and shall be the copy and/or version maintained and designated by Franchisor in Franchisor's ordinary course of business.
Without limitation to the foregoing, Franchisee may only offer and sell the Approved Services and Products and utilize the System Supplies as designated by Franchisor, in Franchisor's Reasonable Business Judgment, in the Operations Manual and, in accordance with the terms, specifications and requirements set forth in the Operations Manual and as Franchisor may supplement and modify the Operations Manual from time to time or, as Franchisor may otherwise designate in writing.
- (4) Franchisee may only operate the Franchised Business within Franchisee's Operating Market and, without limitation to the foregoing, Franchisee may only offer and sell the Approved Services and Products within Franchisee's Operating Market from Franchisor designated and authorized Service Vehicles, the System standards designated by Franchisor, and in accordance with the requirements designated by Franchisor in the Operations Manual;

What This Means (2024 FDD)
According to the 2024 Casiola Franchise Disclosure Document, a franchisee is granted the right to use various resources and systems to operate their franchise. Casiola provides franchisees with access to its Operations Manual, which contains mandatory and suggested specifications, standards, and operating procedures. Franchisees are required to operate their Franchised Business in strict accordance with these guidelines, which include approved services and products, system supplies, and authorized suppliers. Casiola retains the right to modify the Operations Manual, providing franchisees with reasonable notice and time to implement changes.
Franchisees are also permitted to use materials for which Casiola has secured copyright protection. These copyrighted works can be used, sold, or displayed in connection with the development, marketing, and operation of the Casiola Business. However, franchisees are restricted to offering and selling only the approved services and products and utilizing the system supplies designated by Casiola, as outlined in the Operations Manual.
Furthermore, franchisees are allowed to operate their Casiola Business within their designated Operating Market, offering and selling approved services and products from franchisor-designated and authorized service vehicles, adhering to system standards specified in the Operations Manual. This authorization is subject to the franchisee's compliance with the terms of the Franchise Agreement and is subordinate to any reserved rights Casiola may have. The use of these resources is contingent upon the franchisee maintaining the confidentiality of the Operations Manual and protecting the data and information it contains.
