What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, upon termination or expiration of the Franchise Agreement, a franchisee must immediately cease using the System. This includes the Marks and any confusingly similar names, marks, commercial symbols, systems, insignia, symbols, color schemes, trade dress, designs, procedures, domain names, and methods.
This obligation ensures that the franchisee no longer represents themselves as part of the Carvel franchise system after the agreement ends. If a franchisee fails to comply with these requirements and does not make the necessary changes to distinguish the business from its former appearance, Carvel has the right to enter the location and make the changes themselves. The franchisee is then responsible for covering all costs and expenses incurred by Carvel or its affiliates in making these changes, including interest and an administrative fee equal to 15% of the costs and expenses.
This provision protects Carvel's brand identity and prevents potential consumer confusion. It also allows Carvel to maintain consistency across all its franchise locations and ensures that only authorized franchisees are using the brand's intellectual property. Franchisees should be aware of these obligations and plan accordingly to avoid any additional expenses or legal issues upon termination of the agreement.
