Under the Carvel Guaranty, what notices and defenses does the Guarantor waive?

Carvel Franchise · 2025 FDD

Answer from 2025 FDD Document

notices of demand for payment of any indebtedness or non-performance of any Obligations hereby guaranteed, protest, notices of dishonor, notices of default to any party with respect to the indebtedness or nonperformance of any Obligations guaranteed by Guarantors, and any other notices and legal or equitable defenses to which a Guarantor may be entitled. Franchisor shall have no present or future duty or obligation to the Guarantors under this Guaranty, and each Guarantor waives any right to claim or assert any such duty or obligation, to discover or disclose to any Guarantor any information, financial or otherwise, concerning Franchisee, any Guarantor, or any collateral securing any Obligations of Franchisee to Franchisor.

What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, the Guarantor waives several rights and notices to ensure the franchisor can effectively enforce the guaranty. Specifically, the Guarantor waives notices of demand for payment, notices of non-performance, protest, dishonor, and default related to the guaranteed obligations. This means Carvel does not have to formally notify the Guarantor of these events before taking action to collect on the debt or enforce the obligations.

Furthermore, the Guarantor waives any legal or equitable defenses they might otherwise be entitled to. This is a significant concession, as it limits the Guarantor's ability to challenge Carvel's claims or actions based on legal technicalities or fairness arguments. The Guarantor also waives any right to claim that Carvel owes them a duty or obligation, and any right to information about the franchisee, other guarantors, or collateral securing the franchisee's obligations.

In practical terms, these waivers streamline the process for Carvel to pursue the Guarantor if the franchisee defaults. The Guarantor cannot claim ignorance of the franchisee's financial situation or argue they were not properly informed of defaults. By waiving these rights and defenses, the Guarantor takes on a more direct and unconditional responsibility for the franchisee's obligations to Carvel. This arrangement is designed to protect Carvel's interests and ensure the financial stability of its franchise system.
