Under what conditions can Carvel reduce or eliminate my Area of Protection?

If you default under the Franchise Agreement and fail to cure the default in the applicable cure period (if any), we have the right to reduce or eliminate your Area of Protection, in addition to our other remedies. Except for as described in the previous sentence, the Area of Protection may not be altered before the expiration or termination of the Franchise Agreement. Your territorial
protection is not dependent on achievement of a certain sales volume, market penetration or other factors, other than compliance with the Franchise Agreement.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, Carvel has the right to reduce or eliminate a franchisee's Area of Protection if the franchisee defaults under the Franchise Agreement and fails to cure the default within the applicable cure period. This is in addition to any other remedies Carvel may pursue.
It is important to note that, other than this specific instance of uncured default, the Area of Protection may not be altered before the expiration or termination of the Franchise Agreement. The territorial protection granted to a Carvel franchisee is not dependent on achieving a certain sales volume, market penetration, or other performance factors, but rather on compliance with the Franchise Agreement itself.
Prospective franchisees should carefully review the Franchise Agreement to understand what constitutes a default and what cure periods apply to those defaults. Maintaining compliance with the Franchise Agreement is critical to preserving the Area of Protection and avoiding its reduction or elimination by Carvel.
