The provisions of this Addendum form an integral part of, are incorporated into, and modify the Franchise Disclosure Document, the franchise agreement, and all related agreements regardless of anything to the contrary contained therein. This Addendum applies if: (a) the offer to sell a franchise is accepted in Washington; (b) the purchaser of the franchise is a resident of Washington; and/or (c) the franchised business that is the subject of the sale is to be located or operated, wholly or partly, in Washington.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, the Washington Addendum is an integral part of the franchise agreement and modifies the Franchise Disclosure Document, the franchise agreement, and all related agreements. This addendum applies under the following conditions:
First, the addendum applies if the offer to sell a Carvel franchise is accepted in Washington. This means that if a prospective franchisee in Washington agrees to purchase a franchise, the Washington Addendum will be incorporated into the franchise agreement.
Second, the addendum applies if the purchaser of the Carvel franchise is a resident of Washington, regardless of where the offer was accepted. This ensures that Washington residents who become franchisees receive the protections and modifications outlined in the addendum.
Third, the addendum applies if the Carvel franchised business is to be located or operated, either wholly or partly, in Washington. This condition ensures that any Carvel franchise operating within the state of Washington is subject to the provisions of the Washington Addendum, irrespective of the franchisee's residency or where the franchise agreement was accepted.
