What This Means (2025 FDD)

According to the 2025 Carvel FDD, a franchisee operating a Swirl Business must adhere to specific standards that may significantly differ from those of a standard Carvel Business. A Swirl Business is primarily identified by the CINNABON SWIRL™ Mark and operates with modifications to the standard Carvel system. The franchisee must operate in strict compliance with the standards specified by Carvel for Swirl Businesses.

Since Swirl Businesses are co-branded with Cinnabon, franchisees must cooperate with both Carvel and the Co-Branded Franchisor (Cinnabon) to accommodate the different requirements of each brand's franchise agreements, manuals, policies, and procedures. Franchisees are obligated to comply with the most stringent duties and obligations set forth in both franchise agreements. Carvel retains the right to communicate with the Co-Branded Franchisor regarding any aspect of the franchisee's development or operation and can provide copies of default and termination notices to them.

Prospective franchisees should carefully review both the Carvel franchise agreement and the Cinnabon franchise agreement to fully understand the obligations and standards for a Swirl Business. Understanding the differences and the need to comply with the more stringent requirements of either franchise is crucial for the successful operation of a co-branded location. It is also important to recognize that Carvel can communicate with Cinnabon regarding the franchisee's business operations and share any default or termination notices.
