You must purchase and install, at your expense, all fixtures, furnishings, equipment (including a Computer System), décor and signs, as we direct. If we modify our menu, we may require you to purchase additional equipment to prepare and store new menu items. You may not install on or about your Shoppe any merchandise, furnishings, interior or exterior décor items, supplies, fixtures, equipment or utensils unless they have been approved by us in writing. You must purchase these items only from an Approved Supplier unless we specify otherwise.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, franchisees must purchase and install decor as directed by Carvel, and these purchases are made at the franchisee's expense. Franchisees cannot install any decor items, whether interior or exterior, without prior written approval from Carvel. Unless otherwise specified by Carvel, these items must be purchased exclusively from Carvel-approved suppliers.
Carvel retains the right to mandate that specific brands, kinds, or models of furniture, fixtures, equipment, and services be purchased or leased only from approved suppliers or even a single designated source, which could include Carvel itself or its affiliates. Carvel can modify or add approved suppliers at any time. Franchisees are required to purchase all proprietary goods, including signs and menu boards, from Carvel, its affiliates, or designated approved suppliers.
If a franchisee wishes to use goods or suppliers not already approved by Carvel, they must submit a written request for approval. Carvel has the right to inspect the supplier's facilities and test samples of the goods, with the franchisee bearing the costs of these inspections and tests. Approval can be granted, denied, or revoked at Carvel's discretion. This comprehensive system ensures that all Carvel locations maintain a consistent brand image and meet Carvel's standards for quality and appearance.
