What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, a franchisee has 150 days from the date of signing the Franchise Agreement to meet the Site Approval Deadline. This involves several key steps: identifying an acceptable location, securing Carvel's approval of that location, signing any required documentation, obtaining Carvel's acceptance of the lease, and finally, signing the lease or acquiring ownership rights to the location.

Missing the Site Approval Deadline can have serious repercussions. Carvel retains the right to terminate the Franchise Agreement if the franchisee fails to meet this deadline and does not rectify the situation within 30 days. In the event of termination, Carvel is not obligated to refund the initial franchise fee, representing a significant financial risk for the franchisee.

Carvel may, at its discretion, grant an extension to the Site Approval Deadline, potentially providing franchisees with additional time to meet the requirements. However, this extension is not guaranteed and may be subject to a fee. This underscores the importance of diligent site selection and lease negotiation to avoid the risk of termination and loss of the initial investment.
