What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, the Guarantor waives several rights against the Franchisee to ensure the Franchisor can pursue payment and performance of obligations without impediment. Specifically, the Guarantor waives all rights to payments and claims for reimbursement or subrogation that they may have against the Franchisee as a result of fulfilling their obligations under the Guaranty. This waiver is intended to prevent the Guarantor from being considered a 'creditor' of the Franchisee under bankruptcy law, which could complicate Carvel's ability to recover debts.
Additionally, the Guarantor waives any right to compel Carvel to first proceed against the Franchisee for any obligation, or to pursue any security from the Franchisee before seeking recourse from the Guarantor. This means Carvel can directly pursue the Guarantor without exhausting all other possible remedies against the Franchisee. The Guarantor also relinquishes any benefit of or right to participate in any security held by Carvel.
Furthermore, the Guarantor waives acceptance and notice of acceptance by Carvel of the Guarantor's obligations, as well as notices of demand for payment, dishonor, or default. They also waive any legal or equitable defenses they might otherwise have. This comprehensive waiver ensures that Carvel can act swiftly and decisively to enforce the Guaranty without being hindered by procedural requirements or potential legal challenges from the Guarantor.
In essence, these waivers are designed to streamline the process for Carvel to recover any losses or enforce obligations under the Franchise Agreement, by removing potential obstacles and defenses that the Guarantor might otherwise raise. This arrangement benefits Carvel by providing a more direct and efficient path to recourse in case of default by the Franchisee.
