The transferee and its proposed directors, officers, shareholders, partners, and members, as applicable, and its Manager and any other personnel we designate, who will be responsible for operating and managing the Business, satisfactorily complete before the date of Transfer our Management Training Program.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, in the event of a control transfer, the transferee, along with their proposed directors, officers, shareholders, partners, and members (if applicable), must satisfactorily complete the Management Training Program before the transfer date. This requirement also extends to the transferee's Manager and any other personnel that Carvel designates as responsible for operating and managing the business.
This stipulation ensures that the individuals taking over the Carvel franchise possess the necessary skills and knowledge to maintain Carvel's standards. The satisfactory completion of the Management Training Program is a prerequisite for Carvel's approval of the control transfer.
