What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, Carvel has the right to require franchisees to purchase specific furniture for their Shoppes. Carvel can mandate that the furniture meet specific standards, be a particular brand, kind, or model, and be purchased only from approved suppliers or a single designated source, which may include Carvel or its affiliates. These purchases may also be required as part of a purchasing program or contract specified by Carvel.

Carvel also requires franchisees to purchase and install all fixtures, furnishings, and equipment as directed by them. Franchisees cannot install any merchandise, furnishings, or décor items unless they have Carvel's written approval and must purchase these items from an Approved Supplier, unless otherwise specified. This ensures uniformity and quality control across all Carvel locations, maintaining brand consistency.

These requirements extend to other products and services necessary for operating the Carvel Shoppe. Carvel estimates that purchases from Approved Suppliers and under their standards will constitute approximately 85% of the total purchases and leases needed to establish a Shoppe and about 90% of the total purchases and leases needed to operate it. Specifically, franchisees must purchase at least 98% of their food-related products from Approved Suppliers, allowing only up to 2% of such purchases (like milk, minor ingredients, and fruit) from other suppliers. This high percentage underscores Carvel's control over the supply chain and product quality, which franchisees must adhere to.
