Carvel Franchise · 2025 FDD

Answer from 2025 FDD Document

In order to operate a Cinnabon Co-Branded Shoppe, you must (i) purchase a Carvel® franchise from us, sign a Franchise Agreement with us, and sign the Cinnabon Co-Branded Shoppe Schedule, which is attached as Exhibit C to this Disclosure Document (the "Co-Branded Shoppe Schedule") and (ii) purchase a Cinnabon® franchise from Cinnabon and sign a Cinnabon® franchise agreement and co-branded schedule with Cinnabon.

The terms of the Cinnabon® franchise offering, franchise agreement, and related agreements that Cinnabon will require you to sign are disclosed in the Cinnabon® Disclosure Document, which you must obtain from Cinnabon.

We will not grant you the right to operate a Cinnabon Co-Branded Shoppe, unless Cinnabon agrees to offer you a Cinnabon® franchise and to permit the franchise to be operated at a co-branded location.

What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, to operate a Cinnabon Co-Branded Shoppe, you must purchase a Cinnabon franchise from Cinnabon and sign both a Cinnabon franchise agreement and a co-branded schedule with Cinnabon. The specific terms of the Cinnabon franchise, the franchise agreement, and any related agreements are detailed in the Cinnabon Disclosure Document, which you must obtain directly from Cinnabon. Carvel will not grant you the right to operate a co-branded location unless Cinnabon agrees to offer you a Cinnabon franchise and permits it to operate at a co-branded location. This process ensures that both Carvel and Cinnabon approve of the co-branded venture.

This requirement is in place because the co-branded shoppe involves operating two distinct franchises under one roof. Each franchise has its own set of rules, regulations, and brand standards that must be adhered to. By requiring franchisees to obtain a Cinnabon franchise and sign the necessary agreements, Carvel ensures that franchisees are fully aware of and compliant with Cinnabon's requirements. This also protects the integrity of both the Carvel and Cinnabon brands.

For prospective franchisees, this means that opening a Carvel Cinnabon Co-Branded Shoppe involves a dual-franchise application process. You will need to meet the qualifications and requirements of both Carvel and Cinnabon, and you will be subject to the terms and conditions of both franchise agreements. This may involve additional costs, training, and operational considerations compared to opening a standalone Carvel franchise. It is crucial to carefully review both the Carvel and Cinnabon Franchise Disclosure Documents and seek professional advice before making a decision.

Furthermore, the FDD mentions a 'Swirl Shoppe' which operates under the Cinnabon Swirl™ mark and trade dress, offering a menu that combines traditional Carvel and Cinnabon products. The requirements for operating a Swirl Shoppe are similar to those for a Cinnabon Co-Branded Shoppe, including purchasing a Cinnabon franchise and signing the relevant agreements with Cinnabon. Unless otherwise noted, all references to Co-Branded Shoppes in the FDD also apply to Swirl Shoppes.
