  • (4) We and/or our affiliates may acquire, be acquired by, or merge with another entity with existing businesses or franchises that are similar to or competitive with the Businesses anywhere and (a) convert the other businesses to be Businesses operating under the Marks and the System (except to be Swirl Businesses inside your Area of Protection), (b) permit the other businesses to continue to operate under another name anywhere, and/or (c) permit the businesses to operate under another name and convert your Franchised Business and existing Businesses to such other name.

What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, Carvel or its affiliates have the right to merge with another entity that has similar or competitive businesses. Following such a merger or acquisition, Carvel has several options regarding the branding and operation of these businesses and existing Carvel franchises.

Specifically, Carvel can choose to convert the acquired businesses into Carvel franchises operating under Carvel's marks and system, except for co-branded businesses within the franchisee's area of protection. Alternatively, Carvel can allow the acquired businesses to continue operating under their existing names. Most importantly, Carvel can also choose to operate the acquired businesses under a different name and convert existing Carvel franchises to that other name.

This clause gives Carvel considerable flexibility in how it manages its brand and integrates with other businesses, but it also carries significant implications for franchisees. The franchisee's business could be rebranded to a different name in the future if Carvel chooses to do so.
