Is Carvel liable for any costs associated with modifications or discontinuing use of any components of the Computer System?

We will have no liability or obligation whatsoever with respect to our requirement that you modify or discontinue use of any of the components of the Computer System or any unauthorized modifications to the Computer System that you make.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, franchisees are responsible for all expenses related to the Computer System. Carvel requires franchisees to purchase, lease, and maintain a Computer System that meets their standards. This includes point-of-sale systems, computer hardware and software, mobile hardware, telephone lines, network connections, communication equipment, and high-speed internet access.
If Carvel decides to change, upgrade, or discontinue any part of the Computer System, franchisees must comply with these changes at their own expense. Carvel explicitly states that it has no liability or obligation for the costs associated with these modifications or discontinuations. This also applies to any unauthorized modifications made by the franchisee.
This means that a Carvel franchisee bears the financial risk of any required updates or changes to the Computer System during the franchise term. While Carvel may offer support services or require franchisees to purchase services from approved suppliers, the franchisee is ultimately responsible for these costs.
