If a Carvel franchisee wants to use a supplier not already approved, what action must they take?

During the operation of your Shoppe, we will fulfill the following obligations:
- 1. Approved Suppliers. We will continue to identify Approved Suppliers for Goods to be used in your Shoppe. (Franchise Agreement, Sections 7.1 and 7.2)
- 2. Review Proposed Suppliers and Goods. If you would like to offer products or use any Goods that we have not approved or to purchase or lease from a Supplier that we have not approved, you must submit a written request for approval and provide us with any information
that we request, which we will review and approve or disapprove. See Item 8. (Franchise Agreement, Sections 7.3)

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, if a franchisee wishes to purchase or lease from a supplier that Carvel has not approved, or offer products or use any goods that Carvel has not approved, the franchisee must submit a written request for approval. The franchisee must also provide Carvel with any information that Carvel requests, which Carvel will then review and either approve or disapprove.
This requirement allows Carvel to maintain quality control and consistency across all franchise locations. By requiring franchisees to seek approval for new suppliers and goods, Carvel can ensure that all products meet its standards and protect the brand's reputation. This process is typical in franchising, as franchisors need to maintain uniformity.
For a prospective Carvel franchisee, this means that you cannot independently choose all of your suppliers or products. You are obligated to seek approval, and Carvel has the right to disapprove your requests. Item 8 of the FDD may contain additional information about supplier requirements.
