Does Carvel identify approved suppliers for goods used in the Shoppe?

- 7. Goods. We will furnish you with any specifications for Goods, to the extent that we publish such specifications. (Franchise Agreement, Sections 7.1. and 7.2)
- 8. Approved Suppliers. We will identify Approved Suppliers for all Goods required to be used in the Shoppe and use reasonable efforts to fulfill or cause Approved Suppliers to fulfill your orders for Goods on a timely basis. If we, our affiliates, and/or our Approved Suppliers cannot
supply customers (including yourself and other franchisees) with the quantity and type of Goods that they request, then we will try to allocate the available quantities and types of Goods on an equitable basis among businesses seeking to purchase the Goods.

What This Means (2025 FDD)
According to Carvel's 2025 Franchise Disclosure Document, Carvel does identify approved suppliers for all goods required to be used in the Shoppe. Carvel also uses reasonable efforts to ensure these suppliers fulfill orders in a timely manner.
However, if Carvel, its affiliates, or its approved suppliers cannot provide the requested quantity and type of goods, they will attempt to allocate available quantities equitably among those seeking to purchase the goods, including franchisees. If a franchisee does not receive goods from Carvel, its affiliates, or approved suppliers, it is not considered a breach of the Franchise Agreement, and neither Carvel nor its suppliers will be liable.
Carvel will also furnish franchisees with specifications for goods, to the extent that they publish such specifications. This ensures that franchisees are aware of the standards and requirements for the goods used in their Carvel Shoppes, maintaining consistency across the brand.
