Carvel Franchise · 2025 FDD

Answer from 2025 FDD Document

We have the right to require that Approved Products, other products, Proprietary Ingredients, supplies (including chemicals), furniture, fixtures, equipment, and services (collectively, "Goods") that you purchase for resale or purchase or lease for use in your Shoppe: (i) meet specifications that we establish from time to time; (ii) be a specific brand, kind, or model; (iii) be purchased or leased only from Approved Suppliers; (iv) be purchased or leased only from a single source that we designate (which may include us or our affiliates or a buying cooperative organized by us or our affiliates); and/or (v) be purchased as part of a purchasing program, arrangement, or contract that we negotiate or specify. We may add or change Approved Suppliers at any time.

What This Means (2025 FDD)

According to Carvel's 2025 Franchise Disclosure Document, 'Goods' encompass a wide range of items that franchisees are required to purchase for resale or use in their Carvel Shoppes. These include Approved Products, other products, Proprietary Ingredients, supplies (including chemicals), furniture, fixtures, equipment, and services. Carvel retains the right to mandate that these Goods meet specific standards, be of a particular brand or model, and be sourced exclusively from Approved Suppliers, including Carvel itself or its affiliates. Carvel can also require purchases through designated single sources or as part of a negotiated purchasing program.

This definition is important for prospective Carvel franchisees because it outlines the scope of products and services over which Carvel exerts control regarding sourcing. Franchisees must adhere to Carvel's specifications and approved supplier list when obtaining these Goods. This ensures consistency and quality across all Carvel locations but may limit a franchisee's ability to seek out potentially lower-cost alternatives independently.

The FDD also indicates that Carvel may modify the list of Approved Suppliers at any time, meaning franchisees need to stay updated on any changes to the approved vendors. While franchisees might benefit from negotiated purchasing arrangements and volume discounts that Carvel or its affiliates secure, there is no guarantee that such special pricing or terms will always be available. Understanding the definition and implications of 'Goods' is crucial for managing costs and maintaining compliance within the Carvel franchise system.
