Goods**.

We will furnish you with any specifications for Goods, to the extent that we publish such specifications. (Franchise Agreement, Sections 7.1. and 7.2)

Approved Suppliers**.

We will identify Approved Suppliers for all Goods required to be used in the Shoppe and use reasonable efforts to fulfill or cause Approved Suppliers to fulfill your orders for Goods on a timely basis.

According to Carvel's 2025 Franchise Disclosure Document, Carvel will furnish franchisees with any specifications for goods, to the extent that Carvel publishes such specifications. Carvel will also identify approved suppliers for all goods required to be used in the Shoppe and use reasonable efforts to fulfill or cause approved suppliers to fulfill the franchisee's orders for goods on a timely basis.

However, if Carvel, its affiliates, and/or its approved suppliers cannot supply customers with the quantity and type of goods that they request, then Carvel will try to allocate the available quantities and types of goods on an equitable basis among businesses seeking to purchase the goods. If the franchisee does not receive goods from Carvel, its affiliates, or its approved suppliers, this will not be a breach of the Franchise Agreement, nor will Carvel, its affiliates, or its approved suppliers be liable to the franchisee for this.

A prospective franchisee should confirm what the typical supply chain looks like, how often shortages occur, and what recourse they have if they cannot obtain necessary goods to operate their Carvel franchise.
